Wendell,
Congratulations for deciding that you want to own a business. There are hundred of questions that need to be asked before you committ to anything. Recently, I looked into buying out another financial services practice. The price seemed reasonable but there's way more. I've personally never bought a business. I consulted those who have and here's what I asked, "If you had to do it all over again, what questions or research would you have done that you didn't" The responses given to me led me to passing on the deal. Sometimes it helps to have another set of eyes and ears for perspective.
Talk to people who have done it. I'm sure you can create a intent letter that let's you focus on due diligence and if it doesn't suit you, you can walk away.

Wendell I'd like to help you, but you haven't filled out ANYTHING on your profile that would inspire me to do so.
Please add a pic and some background info and you'll get a better response here at MCC.
